Matyns Terms of Service
These Terms of Service ("Terms") are an agreement between Matyns LLC ("Matyns," "we," "us") and the organization or person using the Services ("Customer," "you"). By creating an account or using the Services, you agree to these Terms. If you're agreeing on behalf of an organization, you represent that you're authorized to bind it.
The Services include our marketing site at matyns.com and our application at app.matyns.com.
1. The Service
Matyns connects to document storage you authorize (such as Dropbox and Google Drive), reads the files in the folders you select, and uses AI to turn them into structured, searchable data you can query. Details of data handling are in our Privacy Policy, which is part of these Terms.
2. Accounts and eligibility
You must provide accurate account information, keep your credentials secure, and be responsible for activity under your account. The Services are for business use by users 18 or older; they are not intended for children.
3. Your data and ownership
As between you and Matyns, you own your documents and the data extracted from them ("Customer Content"). You grant Matyns a limited license to access, process, store, and display Customer Content solely to provide and support the Services and as described in the Privacy Policy. You are responsible for having the rights and permissions needed to connect your sources and submit Customer Content to the Services.
4. AI outputs, human review, and no professional advice
AI-assisted, decision-support only. Matyns uses AI (Anthropic's Claude models) to read and structure documents. AI output can be inaccurate, incomplete, or misleading and must not be relied on without independent verification. Matyns output is decision-support only and is not financial, legal, tax, accounting, or other professional advice.
High-risk decisions require a human. For decisions in sensitive domains — in particular lending, creditworthiness, or other financial eligibility determinations — you agree that a qualified person will review Matyns output before any such decision is finalized (human-in-the-loop), and that where AI-assisted output is presented to an affected individual, you will disclose that AI was used. You are responsible for the accuracy and appropriateness of decisions you make.
5. Acceptable Use
You may use the Services only for lawful purposes and in compliance with these Terms. Because Matyns is built on Anthropic's Claude models, your use is also subject to Anthropic's Usage Policy, which is incorporated into these Terms by reference; you agree to comply with it and it may be updated by Anthropic from time to time.
Without limiting that policy, you must not use the Services to:
- Violate any applicable law or infringe others' rights (including intellectual property or privacy rights);
- Upload or process content you don't have the right to submit;
- Attempt to access other customers' data, or probe, breach, or circumvent security or tenant isolation;
- Compromise or attack computer systems or networks, or introduce malware;
- Develop or facilitate weapons, or compromise critical infrastructure;
- Generate or facilitate fraud, scams, phishing, spam, or deceptive or predatory practices (including abusive lending or debt-collection practices);
- Produce content that exploits or endangers minors, incites violence or hatred, or harasses or harms others;
- Use the Services to build or train a competing AI model, or reverse engineer or resell the Services; or
- Use outputs to make automated high-risk decisions about individuals without the human review and disclosure described in Section 4.
We may suspend or terminate access for violations, and may be required to report certain conduct to Anthropic or authorities.
6. Third-party services and connectors
The Services connect to third-party platforms you authorize (e.g. Dropbox, Google Drive). Your use of those platforms is governed by their own terms, and Matyns isn't responsible for them. You can revoke a connection at any time.
7. Fees
Use of the Services is subject to the fees agreed between the parties in a separate order form, quote, or written agreement. Unless otherwise agreed in writing, fees are exclusive of taxes (for which the Customer is responsible) and are non-refundable. Detailed billing, renewal, and payment terms will be set out in that separate agreement.
8. Confidentiality
Each party may access the other's confidential information. Customer Content is your confidential information; we protect it as described in the Privacy Policy and use it only to provide the Services.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MATYNS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE. CUSTOMER IS SOLELY RESPONSIBLE FOR EVALUATING AND VERIFYING OUTPUTS BEFORE RELYING ON THEM.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or loss of data, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.
Each party's total aggregate liability arising out of or relating to these Terms and the Services will not exceed the greater of (a) the total fees paid by Customer to Matyns in the 12 months before the event giving rise to the liability, or (b) US $100.
11. Indemnification
You will defend, indemnify, and hold harmless Matyns and its officers, employees, and agents from and against any third-party claims, damages, liabilities, losses, and reasonable costs and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your Customer Content, (b) your or your users' use of the Services, or (c) your breach of these Terms, including the Acceptable Use section. Matyns does not provide a reciprocal indemnity under these Terms.
12. Term, termination, and data deletion
Either party may terminate these Terms for convenience on 30 days' written notice, or immediately for the other party's material breach that remains uncured 30 days after written notice of the breach. On termination, your right to use the Services ends, and we delete Customer Content and extracted data within 30 days, except limited records retained to comply with law or resolve disputes (see the Privacy Policy). Sections that by their nature should survive (ownership, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
13. Changes to the Services or Terms
We may modify the Services or these Terms. For material changes to the Terms, we'll update the effective date and, where appropriate, provide notice. Continued use after changes take effect means you accept them.
14. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules.
The parties will first attempt to resolve any dispute informally. Any dispute that cannot be resolved informally will be settled by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (including the AAA Expedited Procedures where applicable), seated in Williamson County, Tennessee. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives any right to a jury trial and to participate in a class action to the fullest extent permitted by law. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
